African Rainbow Capital shareholders approve delisting and re-domiciliation

Investment company African Rainbow Capital’s (ARC’s) shareholders on May 6 approved the delisting of the ARC Investments (ARCI) company from the JSE and removal of its shares from A2X Markets, and re-domiciliation of the company from Mauritius.

The delisting was owing to the offer made by ARC to acquire all the issued ordinary shares in ARCI not already owned by them and approved by shareholders.

ARCI will be delisted from the JSE and A2X Markets. It will also be re-domiciliated from Mauritius to South Africa.

All the resolutions required to approve the delisting and re-domiciliation were passed by shareholders with the requisite majorities and will be implemented, the company said.

However, the re-domiciliation remains subject to regulatory approvals required under the South African Companies Act and the Mauritian Companies Act without conditions or subject to such conditions as are approved by ARC.

Remaining shareholders will be advised when the re-domiciliation is implemented.

Further, shareholders who have not accepted the offer will remain as shareholders of ARCI and should note the limited tradability of their shares following the delisting.

The offer is open for acceptance until noon on May 23.
